At the foundation of Rifra Masterbatches’ Corporate Governance lies a cardinal principle: integrity. Governance structure

The governance structure adopted by Rifra Masterbatches S.p.A. follows the traditional organizational model, structured around three main bodies:

Board of Directors

Composed of three members, responsible for strategic oversight, risk and opportunity governance, financial decisions, management appointment and evaluation, stakeholder relations, and monitoring corporate performance. The Board, in office until approval of the annual financial statements, operates in the Company’s interest pursuing transparency, legality, and integrity.

Board of Statutory Auditors

Composed of five members, tasked with overseeing accounting accuracy and compliance with regulations and the Bylaws, reporting any irregularities and ensuring the legality of management decisions.

Brixia Revisione Srl

Audit firm entrusted with the statutory audit of accounts.

Sustainability governance

Effective and responsible governance

In accordance with the principles of loyalty and transparency enshrined in the Code of Ethics, Rifra adopts structured measures to prevent conflicts of interest, including potential ones. Every employee is required to promptly report any situations in which personal or external interests may interfere with those of the company.

Sustainability governance is integrated into the corporate management model: the Board of Directors identifies material topics, defines ESG objectives, oversees the preparation of the Sustainability Report, and ensures continuous updating of its competencies in this area.

The corporate organizational chart explicitly defines all positions holding strategic roles for the direction and coordination of processes: these interconnected functions contribute to achieving corporate objectives and ensure effective, responsible governance consistent with the company’s founding values.
